Dear
At MGP Investment Management Ltd., we are focused on creating strategic partnerships that connect credible projects with reputable private investors and financial institutions across the Gulf region and other global markets. Our primary responsibility is to guide and support project sponsors through the proper structuring, documentation, and presentation of their funding requests to ensure security, efficiency, and long-term value creation. Please note that it is not our role to provide or secure project sites for applicants; rather, our duty is to structure and facilitate access to financing by aligning qualified projects with the right funding sources.
To enable us to proceed effectively, may I kindly ask you to provide clarity on the specific project or business opportunity for which you are seeking funding? Understanding the project’s nature, objectives, and funding requirements will allow us to determine the most appropriate financial structure and identify suitable investors within our network.
Another critical aspect to address is collateral. Could you please confirm whether you have a form of collateral available to accompany your loan application? Collateral serves as an essential safeguard that provides security for investors and demonstrates the project sponsor’s commitment to the transaction.
However, in the absence of collateral, it becomes imperative to establish a Special Purpose Vehicle (SPV). An SPV is a legally independent entity created to hold the project’s assets, contracts, and revenue streams. Its purpose is to isolate the project from other business risks and ensure that all obligations to the funder are transparently managed and protected. This structure is not only vital to protect the investor’s interests but also enhances the project’s credibility and attractiveness to funders by ensuring that the financing is tied to identifiable assets and cash flows.
Furthermore, please be advised that at the closing or disbursement stage of any approved loan, your physical presence will be required to finalize documentation and complete the funding process. If circumstances prevent you from traveling for the closing, this must be discussed and agreed upon directly with the funder in advance. As your financial adviser, my role is to ensure that you clearly understand the full process before proceeding, to avoid any delays or misunderstandings later in the transaction.
Before you share any project documents with us, we will provide you with a Non-Disclosure Agreement (NDA) to ensure that all information exchanged remains confidential and protected throughout our engagement.
I look forward to your response, particularly regarding the details of the project, your funding expectations, and whether you have collateral available or would prefer to establish an SPV. Once we receive this information, we will proceed with the next step in the evaluation and structuring process.
Best regards,
Mike Rostron
